SEC. 79-12-93. Foreign limited liability partnerships.
(1) Subject to the Constitution of this state, the laws of the state or other jurisdiction under which a foreign limited liability partnership is organized shall govern its organization and internal affairs and the liabilities and authorities of its partners.
(2) Subject to the Constitution of this state, a foreign limited liability partnership may not be denied registration by reason of any difference between the laws under which it is organized and the laws of this state.
